Every commercial transaction a business enters into will be covered by a contract. A contract at its most basic is simply a statement or statements of what each party agreed to do. A contact could be in one document, or several (often it’s a matter of piecing together a whole chain of emails to work out exactly what was agreed). Often, what was agreed is in a combination of documents and verbal conversations. To complicate matters further, the courts will often insert clauses into contracts that weren’t actually agreed and will ignore some clauses that were! And, if someone does breach a contract, it’s often difficult to decide what the injured party is entitled to by way of compensation.
